// 1. Acceptance & Eligibility
These Terms of Use govern your use of the website and the Gevity Score diagnostic (the "Site"), operated by Gevity LLC, doing business as Gevity Advisors ("Gevity," "we," or "us"). By using the Site or submitting answers through the diagnostic, you agree to these Terms. You represent that you are at least 18 years old and, if using the Site on behalf of a business, that you are authorized to do so.
// 2. No Professional Relationship; Not Advice
Gevity is a CPA-led financial advisory practice. Your use of the Site, the diagnostic, or the contact form does not create a certified-public-accountant, advisory, fiduciary, or other professional relationship, and does not create any confidential or privileged communication. A professional relationship arises only upon a signed engagement agreement. The content of the Site and the diagnostic is general information for business audiences and is not financial, accounting, tax, legal, or investment advice. Before acting, consult your own licensed professionals.
// 3. The Gevity Score Diagnostic
The Gevity Score is a top-of-funnel estimate generated from five high-level answers you provide. It is a directional indicator of business-finance maturity only. It is not an audit, review, compilation, attestation, valuation, or assurance of any kind, is not a guarantee of any financial result, and should not be relied upon as the basis for any business, funding, tax, or investment decision. Its accuracy depends on the answers you provide.
// 4. Data You Submit
If you advance beyond the diagnostic and submit financial reports or authorize a QuickBooks Online connection while exploring an engagement, you represent that you have the authority to share that data. How we handle information collected through the Site is described in our Privacy Policy; data handled within a signed engagement is governed by that engagement's agreement, our Data Processing & Security Addendum, and, where applicable, a Business Associate Agreement.
// 5. Intellectual Property & Acceptable Use
The Site and its content, design, text, and the Gevity Score methodology are owned by Gevity and protected by law. You may view and use the Site for your own evaluation, but you may not copy, scrape, reproduce, resell, or create derivative works from it without our written permission. You agree not to misuse the Site, interfere with its operation, attempt unauthorized access, or use automated means to harvest data from it.
// 6. Disclaimer of Warranties
The Site and the diagnostic are provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. Gevity does not warrant that the Site will be uninterrupted, error-free, or secure.
// 7. Limitation of Liability
To the maximum extent permitted by law, Gevity LLC and Donnell Martin, CPA will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any business, operational, pricing, funding, tax, or investment decision made based on the Site or the Gevity Score. To the maximum extent permitted by law, our total liability arising out of or relating to the Site will not exceed one hundred U.S. dollars ($100).
// 8. Indemnification & Third-Party Links
You agree to indemnify and hold harmless Gevity from claims arising out of your misuse of the Site or your violation of these Terms. The Site may link to third-party websites for convenience; we do not control and are not responsible for their content or practices, and a link is not an endorsement.
// 9. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles. The parties will first attempt to resolve any dispute through good-faith discussion; any dispute not so resolved will be brought exclusively in the state or federal courts located in or serving Fairfax County, Virginia, and you consent to that venue.
// 10. Changes, Termination & General
We may update these Terms from time to time; the "Last updated" date reflects the latest version, and your continued use after a change constitutes acceptance. We may suspend or discontinue the Site at any time. By using the Site you consent to receive communications from us electronically. These Terms, with the Privacy Policy, are the entire agreement regarding your use of the Site; if any provision is held unenforceable, the remainder stays in effect.
